He really laid out the thinking behind their attempt to acquire Warner Bros. Discovery, and more importantly, why they ultimately decided against it. It was fascinating to get a peek inside the executive suite and understand how Netflix approaches both deal-making and its relationship with Washington, and it definitely shed some light on where the company is headed next.
Industry Impact
After months of speculation, Netflix has decided not to pursue a deal to acquire Warner Bros. Discovery. Netflix leaders Ted Sarandos and Greg Peters explained in a statement that matching the latest offer from Paramount Skydance would have been too expensive and wouldn’t have made financial sense, so they are withdrawing from the bidding process.

According to Variety, Netflix CEO Ted Sarandos recently spoke with Lucas Shaw at Bloomberg. Sarandos characterized Warner Bros. Discovery as “unconventional, even irrational,” when asked about the competition. He expressed confidence in Netflix’s future, stating he’s optimistic they won’t be affected by Warner Bros. Discovery’s actions, and that he’s previously shared his vision for the future of the streaming landscape.
Sarandos seemed to be talking about possible layoffs at Warner Bros. following the merger, suggesting there would be fewer projects and fewer people employed. While he believed these changes could benefit his own company, he expressed hope that his prediction wouldn’t come true for the sake of the industry as a whole.
Ideological Concerns
Bloomberg questioned Sarandos about whether pressure from the Trump administration influenced their decision to withdraw from the competition. Sarandos responded that it’s easier and less expensive to create a distraction than to increase a bid. He explained that once it became clear Netflix wasn’t interested in acquiring CNN, the Trump White House lost interest, and their deal became unimportant to them.
Netflix was primarily interested in buying Warner Bros.’ movie and TV production studios, not its news networks like CNN, which were planned to become a separate company. However, some conservative groups and Republican politicians worried about Netflix’s perceived liberal viewpoint. They believed acquiring Warner Bros. would significantly increase Netflix’s power to shape culture.

President Trump also asked Netflix to remove Susan Rice from its board. This request followed Rice’s statement that companies and institutions who supported Trump could face consequences if Democrats regained power.
As reported by Fox Business, Sarandos explained to Bloomberg that despite discussing the matter with Rice, he never thought about removing her from the board. Some experts believed getting regulatory approval might have been harder with the current administration, and Netflix decided not to risk finding out.
The Future
In the end, Sarandos explained the decision to withdraw was simply about money. He stated they had a firm price limit and made their offer when the deal was initially agreed upon, expressing satisfaction with both the price they offered and the final outcome. Once they saw Paramount’s competing offer on Thursday night and understood the details, they determined it was a better deal and immediately knew how to proceed.

Sarandos highlighted Netflix’s commitment to careful spending and smart decision-making, explaining that the company prioritizes core business principles over political considerations. He suggested this differed from a competitor, which he felt was overspending in certain areas.
If Ellison can successfully combine Warner Bros.’ movies and production facilities, Netflix might see tougher competition, not only for viewers, but also in keeping those viewers engaged and loyal.
