‘Your Proposal Is Neither Credible Nor Attractive’: eBay Rejects GameStop’s ‘Unsolicited’ Acquisition

Last week, GameStop, a US-based video game retailer, unexpectedly made a bid for eBay, a company nearly four times larger.

The online auction site has turned down the play, and Paul S. Pressler, the company’s Chairman, said their offer wasn’t believable or appealing.

So, GameStop – they’re a pretty big company, worth about 12 billion bucks – made an offer to buy eBay. It wasn’t a straight cash deal though. They were offering to pay with a mix of stock and about $125 in cash for each share of eBay.

Pressler explained five reasons eBay doesn’t think the $56 billion deal will work, specifically:

  1. eBay’s standalone prospects
  2. The uncertainty regarding your financing proposal
  3. The impact of your proposal on eBay’s long-term growth and profitability
  4. The leverage, operational risks, and leadership structure of a combined entity
  5. The resulting implications of these factors on valuation
  6. GameStop’s governance and executive incentives

Pressler continued:

eBay has consistently performed well over the last few years. We’ve become more focused in our strategy, improved how we operate, and made our marketplace better for both buyers and sellers. We’ve also consistently returned profits to our investors. Because of our unique global platform and clear plan for the future, eBay’s board believes the current leadership team will continue to grow the company responsibly, manage resources effectively, and create lasting value for shareholders.

Since announcing its plans, GameStop’s stock price has been falling because investors are worried the company can’t afford the deal without taking on a lot of debt.

GameStop thinks partnering with eBay could lower costs and help them better compete with Amazon.

However, many people are doubtful, and it appears to be mostly a publicity move. If so, it suggests eBay isn’t genuinely committed to this.

It remains to be seen if GameStop will react to this, or simply retreat and avoid further engagement.
